NYSE Taps Broadridge for Shareholder Voting on Tokenized Stocks

Broadridge plans to bring proxy voting and digital transfer agency services to the NYSE's planned tokenized securities platform, which remains subject to regulatory approval.

NYSE Taps Broadridge for Shareholder Voting on Tokenized Stocks

A Governance Layer for Tokenized Shares

The New York Stock Exchange is adding shareholder governance to its plans for tokenized securities, with Broadridge set to provide on-chain voting and digital transfer agency services for the proposed platform.

Broadridge announced the plans on November 2, saying the NYSE platform is scheduled to launch following regulatory approval. The arrangement is intended to connect tokenized stock trading with the communications, ownership records and voting processes that public companies and their shareholders already rely on.

The distinction matters: the announcement describes a planned integration, not a platform that is already live. Broadridge said its services will allow NYSE-listed companies to tokenize their shares for trading on the venue once it is operating.

How the Voting System Would Work

Shareholders often vote by proxy on matters such as director elections and other proposals presented at company meetings. When shares are held through a brokerage, investors typically receive the materials and submit voting instructions through an intermediary rather than voting directly at the meeting.

Broadridge says the NYSE will use its governance smart contracts to connect tokenized securities with meeting agendas, voting rules and verifiable results. The framework is designed to distribute proxy materials and link digital wallet authentication to verified voting entitlements.

According to Broadridge, investors will be able to use supported wallets, broker interfaces or its ProxyVote service to participate. The announcement does not establish that every tokenized stock or wallet will automatically qualify; the rights and access available to an investor depend on the specific security and arrangement.

Why Transfer Agency Matters

A transfer agent helps maintain a company's shareholder records and administer changes in ownership. Broadridge's planned digital transfer agency service is meant to connect that work with the NYSE's tokenized trading infrastructure and give issuers another way to bring shares on-chain.

A token can record or represent a security on a blockchain, but moving the record to a different system does not remove the need to establish who is entitled to vote or receive company communications. Those connections are especially important when an asset can move between different services or wallets.

The companies describe the arrangement as a way to bring tokenization, investor communications, proxy voting and digital identity into the same framework. How well that works in practice will depend on the final platform design, participating issuers and the rules governing the securities involved.

A Broader Push Into Tokenized Markets

NYSE parent Intercontinental Exchange announced plans earlier this year for a separate digital platform intended to support around-the-clock trading of tokenized securities, subject to regulatory scrutiny. The Broadridge announcement addresses a different piece of that effort: what happens to shareholder governance after a security is represented digitally.

Broadridge has also been working with other tokenization projects. In July, Ondo Finance said it had launched a U.S. solution for third-party tokenized securities with Broadridge providing voting and shareholder communications. That arrangement has its own structure and should not be assumed to be identical to the NYSE's planned issuer services.

For investors following the convergence of traditional finance and crypto, the development shows how established market infrastructure is being adapted for blockchain-based assets. The next milestones are regulatory approval, the launch of the NYSE platform and details about which issuers and securities will participate.
