Coinbase to Raise $2B in Convertible Notes as COIN Sags in Pre-Market Trading

Centralized crypto exchange Coinbase is set to raise $2 billion in convertible senior notes, as COIN sagged in pre-market trading.
Coinbase has announced plans to raise $2 billion through a private offering of convertible senior notes, aiming to bolster its balance sheet amid recent market pressure. The issuance is split into two equal tranches: $1 billion maturing in October 2029 and another $1 billion due in October 2032. These notes will be offered to qualified institutional buyers and are unsecured, bearing interest payable semiannually.
Buyers will also have the option to purchase up to an additional $150 million of each tranche within 13 days. Coinbase plans to enter capped call transactions alongside the offering to mitigate dilution and limit the impact of any future stock conversions. A portion of the proceeds will fund these transactions.
The remaining capital will be used for general corporate purposes, which may include working capital, acquisitions, capital expenditures, or debt repayments. The announcement came as Coinbase stock experienced a decline in pre-market trading, reflecting investor caution amid broader weakness in the crypto market and uncertainty around dilution risks.
